Agreement to Terms

By accessing or using the services provided by Pixelcodeers, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Services

Pixelcodeers provides custom software development services, including but not limited to:

Web application development
Mobile application development
Backend system development
Software consulting and architecture
UI/UX design services
Maintenance and support services

Project Scope and Deliverables

Project Agreement

Each project will be governed by a separate project agreement or statement of work that outlines the specific scope, deliverables, timeline, and pricing. The project agreement will incorporate these Terms of Service by reference.

Changes to Scope

Any changes to the agreed-upon scope of work must be documented in writing and may result in adjustments to timeline and pricing. We will provide a written change order for your approval before proceeding with scope changes.

Payment Terms

Pricing and Invoicing

Payment terms will be specified in the project agreement. Unless otherwise agreed:

An initial deposit may be required before work commences
Milestone payments may be required for larger projects
Final payment is due upon project completion
Invoices are payable within 14 days of receipt

Late Payments

Late payments may be subject to interest charges. We reserve the right to suspend work on projects with overdue payments until the account is brought current.

Intellectual Property

Client-Owned Work Product

Upon receipt of final payment, you will own the custom work product created specifically for your project. This includes custom code, designs, and deliverables as outlined in the project agreement.

Third-Party Components

Projects may incorporate third-party libraries, frameworks, and components that are subject to their own licenses. We will identify any such components and their licenses.

Reusable Components

We retain ownership of general methodologies, processes, and reusable code components that we may use across multiple client projects.

Confidentiality

We agree to keep confidential any proprietary information shared with us during the course of the project. We will not disclose your confidential information to third parties without your consent, except as required by law.

Warranties and Disclaimers

Professional Services

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any defects in our work at no additional charge.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Termination

Either party may terminate a project agreement:

For convenience with written notice as specified in the project agreement
For cause if the other party materially breaches the agreement

Upon termination, you will pay for all work completed up to the termination date.

Indemnification

You agree to indemnify and hold harmless Pixelcodeers from any claims, damages, or expenses arising from your use of the deliverables or any content you provide to us for inclusion in the project.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
